  • Twenty-four years of legal experience and expertise.  

  • Big 4 accounting experience at Deloitte & Touche as a member of its tax advisory and consulting group in the areas of estate planning, employee benefits, and tax.

 

  • Former partner of distinguished Columbus law firms.

  • Provided complex estate planning and business succession solutions for family businesses, executives, and entrepreneurs.

  • Creation of revocable and irrevocable trusts, wills, powers of attorney, health care directives, and assistance with probate administration, guardianships, elder law, and Medicaid issues.

  • Experienced in the planning and implementation of irrevocable life insurance trusts (ILITs), dynasty trusts, intentionally defective grantor trusts (IDGTs), grantor retained annuity trusts (GRATs), family limited partnerships and limited liability companies (FLPs and FLLCs), and asset protection trusts.

  • Assisted clients with a wide range of charitable giving methods, including charitable remainder trusts (CRATs/CRUTs), charitable lead trusts (CLATs/CLUTs), donor-advised funds and private foundations, as well as formation, qualification, and assistance to numerous non-profit entities and foundations.

  • Provided tax structuring and facilitated sale and merger of companies worth in excess of $100 million to public corporations.

  • Provided advice and handled all facets of sales of numerous multi-million dollar companies to private equity and strategic buyers. 

 

  • Conducted purchase of business segment and product lines from NASDAQ OMX corporation in Finland. 

 

  • Facilitated purchase and sale of waste management business with operations in U.S. and Mexico.

  • Directed sale of a tech-instrument company to a multinational corporation.

 

  • Restructuring and reorganization of corporation and its subsidiaries with annual revenues in excess of $100 million.

 

  • Assisted multistate oil and gas corporation as well as other businesses and start-ups with debt and equity offerings, venture capital funding, and commercial financings.

 

  • Negotiated purchase and redemption of shareholder interests in a real estate business owning numerous multi-unit properties with several entities and lenders.

 

  • Established deferred compensation, stock appreciation, and other incentive compensation plans for directors and executives of companies.

 

  • Negotiated severance and employment/compensation agreements for C-level and other positions with NYSE and NASDAQ companies.

 

  • Negotiated physician contracts with regional health networks, hospitals, and practice groups.

  • Reviewed and negotiated oil and gas leases for landowners throughout Ohio.
